These Terms of Service ("Terms") govern your use of the recruitment services provided by Minimal Edge Talent ("we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully. If you do not agree with these Terms, please do not use our services.

2. Service Description

Minimal Edge Talent provides recruitment services connecting businesses (particularly startups) with skilled professionals in India. Our services include but are not limited to:

• Talent sourcing and identification
• Candidate screening and assessment
• Interview coordination and facilitation
• Recruitment consulting and guidance

3. User Accounts

Some of our services may require registration or account creation. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Terms for Candidates

4.1 Eligibility

To use our services as a candidate, you must be at least 18 years old and legally eligible to work in the relevant jurisdiction. By submitting your information, you confirm that you meet these eligibility requirements.

4.2 Candidate Representations

As a candidate, you agree to:

• Provide accurate, current, and complete information in your profile, resume, and communications
• Update your information promptly if it changes
• Participate in the recruitment process professionally and in good faith
• Not misrepresent your qualifications, experience, or any other information

4.3 No Guarantee of Employment

We do not guarantee job placement or employment. Our role is to facilitate connections between candidates and potential employers, but hiring decisions are made solely by the employers.

5. Terms for Client Companies

5.1 Client Representations

As a client company, you agree to:

• Provide accurate information about your company and job requirements
• Maintain the confidentiality of candidate information shared by us
• Use candidate information solely for recruitment purposes
• Comply with applicable employment and data protection laws

5.2 Service Fees

Our fee structure will be outlined in separate agreements with each client company. Unless otherwise specified, payment terms are net 30 days from the invoice date.

5.3 Non-Circumvention

Clients agree not to circumvent our services by directly hiring candidates introduced by us without our involvement, unless permitted by a separate agreement. Doing so may result in placement fees becoming due and payable.

6. Intellectual Property

All content on our website, including text, graphics, logos, and software, is our property or the property of our licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content without our explicit written permission.

7. Confidentiality

Both candidates and clients agree to maintain the confidentiality of any non-public information shared during the recruitment process, including but not limited to:

• Candidate profiles and personal information
• Client hiring plans and job specifications
• Compensation details and negotiations
• Proprietary recruitment methodologies

8. Limitation of Liability

To the maximum extent permitted by law, Minimal Edge Talent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or in connection with these Terms, whether based on contract, tort, negligence, strict liability, or otherwise.

We are not liable for:

• Hiring decisions made by client companies
• Performance or conduct of candidates once placed
• Any disputes arising between candidates and employers
• Losses resulting from inaccurate information provided by candidates or clients
• Service interruptions or technical issues

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, for any reason, without notice. Upon termination, your right to use our services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website. Your continued use of our services after changes indicates your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be resolved in the courts of Hyderabad, Telangana.
